These Terms of Use ("Terms") govern access to and use of joyfulflooring.com and www.joyfulflooring.com (the "Website"). The Website is operated by Shenzhen joyfulflooring Co.,LTD., with registered/legal address at Unit 3103, Building 2-3, Shenzhen Yunzhu, Matian Subdistrict, Guangming District, Shenzhen, China ("JOYFUL", "we", "us", or "our").
The Website is intended for business users, including flooring importers, importer-distributors, procurement teams, and other professional buyers. It is not a consumer ecommerce website and does not provide online checkout, online payment, consumer subscription, or automatic product ordering.
By using the Website, you agree to these Terms to the extent they are enforceable under applicable law. If you do not agree, do not use the Website.
1. Website purpose
The Website provides business-to-business information about SPC flooring, product configurations, collections, surface references, specifications, technical evidence, manufacturing, sourcing, samples, and quotation enquiries.
The manufacturing entity referred to on parts of the Website is Hubei Fulltune New Material Technology Co., Ltd. Its Chinese registered identity is 湖北全运新材科技有限公司. It is not identified by these Terms as the JOYFUL Website operator. Original third-party certificates or reports may use a different English rendering of the factory name; the original issuer wording is preserved on those documents.
Website content is provided to support evaluation and business discussion. Unless the parties expressly agree otherwise in a separate written agreement signed or otherwise accepted by authorised representatives, Website content and Website submissions do not themselves create a supply contract.
2. Request Quote, Request Sample, and other enquiries
Request Quote and Request Sample are separate business processes.
A Request Quote submission is an invitation to discuss a potential commercial transaction. It is not an offer, acceptance, order confirmation, or binding commitment to supply.
A Request Sample submission is a request for physical evaluation. Sample availability, quantity, format, cost, shipping method, destination, timing, and suitability remain subject to written confirmation.
A binding supply obligation arises only through a separate written commercial agreement, accepted quotation, purchase-order acceptance, order confirmation, or other written instrument that clearly states that it is binding and is issued or accepted by authorised representatives of the relevant parties.
Pricing, minimum order quantity, lead time, packaging, private-label scope, logistics, Incoterms, taxes, duties, payment terms, warranties, claims procedures, returns, cancellation, and other commercial terms are governed by the applicable written transaction documents, not by the Website alone.
3. Product, decor, technical, and evidence information
Website product descriptions, images, decors, dimensions, specifications, construction diagrams, performance information, certificates, test reports, installation information, manufacturing information, and other technical content must be read together with their stated scope and context.
Unless a separate written commercial or technical document expressly confirms otherwise:
- Website information is for B2B evaluation and sourcing discussion;
- final product specification and construction are project-specific and subject to written confirmation;
- a decor image or surface reference does not establish compatibility with every product configuration;
- a third-party certificate or test report applies only to the product, assembly, test method, scope, and conditions stated in that evidence;
- reasonable differences may exist between samples, screen displays, photographs, colour, texture, embossing, visual appearance, and later production batches, subject to any agreed written specification and tolerance; and
- Website content does not itself create a product warranty, performance guarantee, regulatory guarantee, fitness-for-purpose guarantee, or installation guarantee.
For example, any acoustic performance value shown on the Website must be interpreted only within the exact tested assembly and evidence scope stated next to that value.
Before relying on Website information for procurement, installation, regulatory compliance, design, safety, or performance decisions, professional buyers should obtain the current project-specific specification, evidence, and written confirmation relevant to their intended use.
4. Permitted use
You may use the Website for lawful business-information, product-evaluation, sourcing, and enquiry purposes.
You must not:
- use the Website in violation of applicable law or another person's rights;
- submit false, misleading, unlawful, infringing, malicious, abusive, or unauthorised content;
- attempt unauthorised access to the Website, systems, accounts, data, restricted resources, or security controls;
- introduce malware or deliberately interfere with Website availability or security;
- use automated traffic in a way that unreasonably burdens the Website or circumvents access controls;
- impersonate another person or misrepresent your authority to act for an organisation; or
- copy, republish, systematically extract, or commercially reuse Website content beyond permissions granted by applicable law or written authorisation.
5. Intellectual property and third-party materials
For JOYFUL Website and JOYFUL brand-facing content owned by us, the relevant rights owner is Shenzhen joyfulflooring Co.,LTD., subject to third-party rights and source-specific permissions.
Nothing in these Terms transfers ownership of third-party certificates, test reports, standards, trademarks, licensed media, factory evidence, source documents, or other third-party materials. Those materials remain subject to the rights, permissions, and restrictions of their respective owners or issuers.
You may view Website content for legitimate business evaluation. Any additional copying, redistribution, publication, commercial reuse, automated extraction, or creation of derivative materials requires an independent lawful basis or our written permission where our permission is legally sufficient.
6. Visitor submissions and confidentiality
You retain rights you hold in information you submit to us. You grant us the limited permission reasonably necessary to receive, store, review, route within JOYFUL, respond to, and keep your submission for the business purposes described in our Privacy Policy and any resulting commercial relationship.
Do not submit another person's personal information, confidential information, trade secrets, product designs, or proprietary materials unless you have authority to do so and the disclosure is reasonably necessary for the enquiry.
A Website submission does not by itself create a confidentiality or non-disclosure obligation. If information requires confidential treatment beyond our ordinary business handling, the parties should enter into an appropriate separate confidentiality agreement before disclosure.
7. Privacy and cookies
Personal information is handled in accordance with our Privacy Policy at /privacy/.
Cookie and analytics choices are available through the Website's Cookie Preferences control. Non-essential analytics are intended to remain disabled until the production analytics configuration is enabled and the visitor has affirmatively allowed analytics.
8. Third-party services and links
The Website may link to third-party websites or services, including messaging platforms. A link does not mean that we control or endorse all content, security, availability, or privacy practices of that third party. Third-party services are governed by their own terms and privacy notices.
9. Website availability and changes
We may update, correct, suspend, restrict, or discontinue Website content or functionality. We do not promise uninterrupted availability, a specific response time, continuous uptime, or permanent availability of any page, document, image, product reference, or resource.
We may correct obvious errors and update Website information when new information becomes available. Project-specific written agreements and current applicable evidence take priority over general Website information where they conflict.
10. Disclaimer of Website information
To the maximum extent permitted by applicable law, the Website is provided for general B2B information and evaluation. We do not promise that every page is complete, current, error-free, suitable for a particular project, or sufficient on its own for a procurement, regulatory, installation, safety, or performance decision.
Nothing in this section excludes or limits any warranty, representation, duty, or right that cannot lawfully be excluded or limited. Any express product warranty or commercial commitment must be contained in the applicable separate written transaction documents.
11. Limitation of liability
To the maximum extent permitted by applicable law, JOYFUL is not responsible for indirect or consequential business losses arising solely from access to, inability to access, or reasonable reliance on general Website information where such exclusion is legally permitted.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or any other matter for which applicable law prohibits exclusion.
Liability relating to the sale, supply, quality, delivery, performance, or use of products is governed by the applicable written commercial agreement and mandatory law, not by this Website limitation alone.
12. Governing law and disputes
These Terms and disputes relating solely to access to or use of the Website are governed by the laws of the People's Republic of China, without prejudice to any mandatory law that applies regardless of this choice.
Subject to any mandatory jurisdictional right that cannot lawfully be waived, disputes relating solely to the Website are subject to the jurisdiction of the competent courts in Shenzhen, People's Republic of China.
Separate supply, distribution, private-label, logistics, or other commercial agreements may contain different governing-law, jurisdiction, or arbitration provisions. Those transaction-specific provisions take priority for disputes within their scope.
13. General terms
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
A failure to enforce a provision on one occasion does not waive the right to enforce it later.
These Terms govern Website use only and do not replace a separate written commercial agreement between the parties.
We may update these Terms when the Website, business model, or legal requirements change. The current version will be posted on the Website with an updated date. Material changes will apply prospectively except where applicable law permits otherwise.
The English version is the controlling version of these Terms to the extent permitted by applicable law. Translations may be provided for convenience; mandatory local-law requirements remain unaffected.
